The mandate covers preparation and process support for a potential M&A transaction involving the identity management business.

The mandate prepares Fortuna Clouds for a potential fundraise, connecting its cloud-native enterprise products, IAM automation and services to a supportable growth plan.
Build a historical and forecast model using available revenue by product and service, customers, contracts, renewals, implementation economics, delivery capacity, margins, hiring and cash needs. Include funding and sensitivity scenarios where inputs support them.
Output · Editable model, assumptions register and investor-facing sensitivity views.
Work with management to frame the product portfolio, customer problems, differentiation, commercial traction, deployment model, go-to-market plan and use of proceeds. Validate material claims against company-provided evidence.

This concentrated 3–4 month setup covers diagnosis, design, implementation and handover. It serves Fortuna Identity, Fortuna Cysec and Fortuna Clouds while preserving entity-level visibility.
Review current reporting, chart of accounts, close process, revenue and cost drivers, data ownership, systems and working capital; identify gaps and define entity-level and group reporting needs.
Output · Gap assessment, KPI dictionary, target operating model and prioritised implementation plan.
Design an annual operating plan and rolling forecast process for each entity; connect commercial drivers, resource plans, costs, cash and scenarios; set owners and a refresh calendar.
Output · Budget and forecast templates, assumptions register and planning calendar.
Create P&L and cash packs, budget-versus-actuals, variance commentary, operating KPIs and group consolidation; pilot a management dashboard where source data supports it.
Output · Monthly MIS pack, dashboard definitions and first operating cycle.
Set close dates, data owners, quality checks, monthly business review agenda and action tracking; establish escalation points for missing or inconsistent information.
Output · Reporting calendar, review agenda, decision log and standard operating procedures.
Define roles for the full FP&A team, support onboarding, document models and workflows, run shadow cycles and agree acceptance criteria with leadership.

The roadmap is indicative from a November 2026 diagnostic start; activities can overlap where useful.
The transaction preparation mandates are priced individually. FP&A fees will be agreed separately.
